Wholesale Terms of Service

Welcome to our Wholesale Program Terms of Service! By creating a wholesale account and purchasing from us, you agree to the following terms and conditions:

Eligibility

  • Wholesale accounts are available to businesses purchasing our products for resale or business use.

  • You must maintain at least one purchase per calendar year to keep your wholesale account active. Accounts without any purchases for 12 months may be deactivated without notice.

  • Once registered, your first order must be placed within 30 days to retain your wholesale access. Inactive accounts may be placed on hold or released to make room for other stockists.

Pricing and Discounts

  • We offer a simplified discount structure to make ordering easier for our wholesale customers:

Spend just $300 or more and receive 50% off your entire order.

The discount is automatically applied at checkout, based on your cart total before shipping. All prices are inclusive of GST.

Minimum Purchase/Order Requirement

  • Wholesale pricing is subject to minimum order values. Discounts apply based on the total cart value before shipping and taxes.

  • To access our exclusive wholesale pricing, we kindly ask for a minimum spend of $300 per order.

  • If your order falls below this amount, simply top it up to meet the minimum — or we can process it at our regular retail pricing.

Payment

We offer easy and secure payment options at checkout, including:

  • Credit Card (Visa, MasterCard)

  • PayPal

  • Afterpay

As a small business, we require upfront payment on all initial orders. To support flexibility and cash flow, we’ve kept our minimum order quantities low — and in return, we’re committed to providing excellent value, responsive service, and fast dispatch.

For ongoing stockists with a reliable ordering history, 30-day terms may be considered on a case-by-case basis. If this is something you'd like to explore down the track, feel free to get in touch.

Account Maintenance

  • To maintain your wholesale account and access wholesale pricing, you must place at least one order per calendar year.

  • We reserve the right to review, suspend, or cancel wholesale accounts at our discretion if purchasing requirements are not met.

Shipping

  • Shipping costs are based on weight and calculated at checkout.

  • We generally process and dispatch wholesale orders within 1-3 business days however, processing times may vary depending on volume.

  • We are not responsible for shipping delays once orders have been dispatched. Delivery times are estimates only.

Recommended Retail Price (RRP) Guidance

We provide the Recommended Retail Price as a guideline to help maintain consistent brand value and reflect the premium quality of our products. While we encourage retailers to align pricing closely with the RRP, we understand that market conditions and sales strategies may vary. Therefore, pricing is flexible to allow you the freedom to set prices that best suit your business and customers.

We kindly ask that any discounts or promotions uphold the integrity and reputation of the Colour My Chocolate brand to ensure long-term success for all our partners.

Refunds & Replacements:

  • We do not offer refunds for change of mind or ordering errors as part of our wholesale policy.

  • If your order arrives damaged or items are missing, please contact us within 48 hours of delivery and include clear photos of the issue.
    Once assessed, we will offer a suitable remedy in line with Australian Consumer Law — this may include a replacement, refund, or credit, depending on the nature of the issue.

  • Claims made after 48 hours may not be eligible for replacement or refund.

Food Safety & Handling Disclaimer

  • Once delivered, it is the customer's responsibility to store products correctly and use them as directed. We are not liable for any damages or issues arising from improper storage, handling, or usage.

Order Cancellations

  • Once an order is processed or dispatched, we are unable to cancel or modify it. Please contact us immediately if you need assistance before your order ships.

Intellectual Property Protection

  • All trademarks, logos, product images, and descriptions remain the property of Colour My Chocolate and may only be used to promote the sale of Colour My Chocolate products. 

Typographical Errors

  • In the event a product is listed at an incorrect price due to typographical error, we reserve the right to refuse or cancel any orders placed at the incorrect price.

Force Majeure

  • We are not liable for failure to perform obligations due to events beyond our control, including but not limited to natural disasters, labour strikes, transport issues, pandemics, or government actions.

No Resale on Third-Party Platforms 

  • Wholesale customers are not permitted to resell our products on third-party marketplaces (e.g., Amazon, eBay, Etsy) without prior written approval.

Governing Law

  • These terms are governed by the laws of NSW, Australia and any disputes will be handled in the courts of that jurisdiction.

Other Conditions

  • Wholesale pricing and discounts cannot be combined with other promotions or coupon codes unless otherwise specified.

  • We reserve the right to modify or update these Terms of Service, including discount structures and policies, at any time. Notice of any changes will generally be provided via email or posted on our website.

By using your wholesale account, you acknowledge that you have read, understood, and agreed to these Terms of Service.
